End User Licence Terms

Who we are

charac.co.uk (our “Site”) is a site operated by Charac Limited ("we"“us”“our”). We are registered in England and Wales under company number 12504326 and have our registered office at March Studios, Peills Yard, Bromley, Kent, United Kingdom, BR2 9NS.

What we do

We own and operate the Site and the Charac smartphone app for iOS and Android devices (our “App”). We refer to the Site and the App collectively as our “Platform”. 
Charac provides a platform that connects you with pharmacies around the United Kingdom, to enable you to book certain Pharmacy.
Services (defined below). Details of the Pharmacy Services for each pharmacy that has signed up to provide its services and products through our Platform (a “Pharmacy”) will be available on each Pharmacy’s page (see here for list of Pharmacies).

By using our Platform you accept these Terms

By using our Platform, you confirm that you accept these end user licence terms (“Terms”) and that you agree to comply with them. If you do not agree to these Terms, you must not use our Site or download our App.
We recommend that you print a copy of these Terms for future reference.
There are other terms that may apply to you
These Terms refer to the following additional terms, which also apply to your use of our Platform:
  • Our Privacy and Cookie Policy (“Privacy Policy”);
  • Our Terms of Use, which sets out the permitted uses and prohibited uses of our Platform. When using our Platform, you must comply with these Terms of Use;
  • If you receive Pharmacy Services through our Platform, the Pharmacy from which you have received the Pharmacy Services will have their own terms and conditions and privacy policy, which will apply to your purchase. Please ensure you read these terms and conditions and privacy policy in full before making a purchase. The same considerations will apply to your purchase of any products or goods, if these are offered by the Pharmacy;
collectively referred to as the “Additional Terms”.

Registering for an account

In order to use the Pharmacy Services, you must register for an account with us. By registering for an account with us, you are entering into an agreement with us and you must comply with these Terms. You may register for an account by either:
  • Going to our Site or downloading our App. You will be asked to provide your name, email address, phone number, and billing information as part of the registration process. You may also add a profile picture.
  • In a Pharmacy. You may register for an account by speaking with a member of staff at one of the Pharmacies registered with us. They will be able to register an account for you. In order to do this, you will need to provide your name, email address, phone number and billing information.

Using the Pharmacy Services

Once you have successfully signed up for an account, you may use the Pharmacy Services that are available at your Pharmacy of choice. The services that each Pharmacy provides may vary slightly, so please check the Pharmacy’s page for a full list of their Pharmacy Services.
The “Pharmacy Services” include:
  • Booking an appointment with a pharmacist (in-person)
  • Booking an appointment with a pharmacist (through video/ telephone)
  • Booking an appointment for blood tests/ other medical tests
  • When available, the ability to purchase products from the Pharmacy through our Platform.

You should be aware of the following when using the Pharmacy Services:

  • We allow third party Pharmacies to provide Pharmacy Services on our Platform. The details of the Pharmacy Services available from each Pharmacy is listed on the relevant Pharmacy’s page.
  • We act as a service provider to help facilitate transactions that are carried out through our Platform. However, we are neither the buyer nor seller of any of the Pharmacy’s services and products.
  • We provide a service for Pharmacies and you to complete transactions. Accordingly, the contract formed at the completion of a sale for these third party Pharmacy Services is solely between you and the relevant Pharmacy. We are not a party to this contract nor assume any responsibility arising out of or in connection with it nor are we concluding the contract on behalf of the Pharmacy (i.e. acting as the Pharmacy’s agent).
  • The Pharmacy is responsible for the provision of the services and for any sale of products and for dealing with any claims you might have in relation to the products and services they provide to you, or any other issue arising out of or in connection with the contract between you and the Pharmacy.

What you may and may not do with our platform

Permission to use our Platform

As long as you comply in full with these Terms (and any other Additional Terms mentioned above), we grant you permission (also called a ‘licence’) to use our Platform for your own personal, non-commercial use. This licence is not exclusive to you (we have the right to grant a licence to others too) and we have the right to revoke the licence at any point. The licence is personal to you, and you cannot transfer it to someone else. You may only use our Platform on a device which is owned by you, or if the device is owned by someone else, where you have their permission to use our Platform.
In return for your agreeing to comply with these Terms and subject to the following sections, you may retrieve and display content from our Platform on a computer or mobile device and store our Platform in electronic form incidentally in the normal course of use on your browser or mobile device.
You must comply with all applicable technology control or export laws and regulations that apply to the technology used or supported by our Platform.

Restrictions on your use of our Platform

When using our Platform, you agree that you will not:
  • rent, lease, sub-license, loan, provide, or otherwise make available, our Platform in any form, in whole or in part to any person without prior written permission from us;
  • copy our Platform, except as part of the normal use of our Platform or where it is necessary for the purpose of back-up or operational security;
  • translate, merge, adapt, vary, alter or modify, the whole or any part of our Platform nor permit our Platform or any part of them to be combined with, or become incorporated in, any other programs, except as necessary to use our Platform on devices as permitted in these Terms;
  • not disassemble, de-compile, reverse engineer or create derivative works based on the whole or any part of our Platform nor attempt to do any such things, except to the extent that such actions cannot be prohibited.

ACCESSING OUR PLATFORM

Age restriction. You are not permitted to access or use our Platform unless you are at least 18 years old. By using our Platform you confirm that you are at least 18 years old.
The Pharmacy Services are aimed at UK users. The Pharmacy Services are only available to those people residing in the United Kingdom.
Our Platform may occasionally be unavailable. We do not guarantee that our Platform will always be available or uninterrupted and we will not be liable for any reason if our Platform is unavailable at any time or for any period. Access to our Platform may be suspended temporarily and without notice in the case of system failure, maintenance, upgrade or repair.
We are entitled to monitor use of our Platform. We are entitled to monitor and/or review your use of our Platform. If we become aware of any possible violations by you of any provision of these Terms, we reserve the right to investigate such violations.
If you breach these Terms. We are entitled to immediately terminate your account (including disabling your login credentials), if you have failed to comply with any provision of these Terms.
Temporary restrictions. We may temporarily suspend your login credentials if we suspect or detect (in our sole opinion) any suspicious or illicit activity (e.g. unusual login attempts).
Software updates. From time to time, we may (without notice and at our sole discretion) introduce updates to our Platform including our App, for example to introduce new and/or improved functionality. We may require you to update our App in order to continue using the Pharmacy Services.
Third party software. We are not obliged to customise any part of our Platform to ensure compatibility with any third party software.
Minimum technical requirements. You are responsible for ensuring that:
    • you have a reliable connection to the internet; and
    • the device you use to access our Platform complies with the minimum technical requirements specified on the relevant app store (which may change from time to time).

SECURITY

We take security precautions. We use commercially reasonable endeavours to ensure that our Platform is secure, including preventing unauthorised access to our Platform.
Do not share your login credentials. You must treat your login credentials as confidential. Sharing your login credentials with any other person or making them available to multiple users on a network is strictly prohibited. Accordingly, you agree to:
  • maintain the security of your login credentials and be fully responsible for all use of our Platform made using your login credentials;
  • notify us immediately if you suspect or become aware of any unauthorised use of your login credentials or any other breach of our Platform’s security, by contacting us and providing details of the unauthorised use or other security breach; and
  • ensure that you log out of your account at the end of each session when using a public or shared device.
We accept no responsibility for any losses, damages or costs arising from or in relation to your failure to comply with the above.
Do not hack or misuse our Platform. You must not misuse our Platform by knowingly introducing viruses or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our Platform, the server(s) on which any part of our Platform is hosted or any other server, computer or database connected to our Platform, or to reverse engineer or decompile it (except to the extent expressly permitted by law).
Our Platform may contain viruses. We use reasonable endeavours to ensure that our Platform does not contain or disseminate any viruses or material which is malicious or technologically harmful. However, we do not guarantee that our Platform will be free from bugs, viruses or malicious code and we will not be liable for any loss or damage caused by viruses or other technologically harmful material that may infect your device, equipment, software, data or other proprietary material due to your use of our Platform. We therefore recommend that you use your own virus protection software and scan regularly for the presence of viruses and other malicious or technologically harmful code on your device.
Do not upload malicious content. You are responsible for ensuring that any data that you upload to our Platform does not contain any malicious content or technologically harmful material which could damage our systems or compromise our Platform or the Pharmacy Services.

INTELLECTUAL PROPERTY RIGHTS

We own or license all intellectual property in our Platform. We (and our licensors as applicable) own or license all intellectual property rights in our Platform, and all content displayed on our Platform, including but not limited to all trade marks, copyrights, database rights and other intellectual property rights of any nature and all underlying software code. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
Do not copy or redistribute the content on our Platform. You must not copy, scrape, extract, reproduce, modify, license to any third party, or sell or offer to sell to any third party any data from our Platform. You agree not to use, or cause to be used, any manual or automated program, tool, or process, (including any scraper or spider robot), to extract, scrape, data mine, transmit, or publish, any part of our Platform.
Do not interfere with any trademarks or copyright. You will not interfere with or attempt to remove any trade mark or copyright notices from any content on our Platform.
You grant us permission to use your data. By sharing any data with us (as further described in our Privacy Policy), you grant us permission to use your data for the purpose of providing our Platform, including but not limited to displaying, copying, editing, and creating derivative data relating to all such data.

DATA PROTECTION

You agree to the terms of our Privacy Policy. Our Privacy Policy is available here. We strongly recommend that you read and ensure you understand our Privacy Policy prior to using our Platform, or any of the Pharmacy Services.
Please be aware that internet transmissions are never completely private or secure and that any message or information you send using our Platform may be read or intercepted by others, even if there is a special notice that a particular transmission is encrypted.
The Pharmacies also have their own privacy policies. Before you look to use any Pharmacy Services, we strongly recommend that you read and ensure you understand the privacy policy of the relevant Pharmacy.
Processing personal data. As a result of your use of our Platform, we will process personal data. The processing of your personal data submitted through our Platform is governed by both our Privacy Policy and the privacy policy of the relevant Pharmacy from which you are receiving services or products.

LIABILITY

We do not exclude liability for death or injury or other specified losses. We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
Do not use our Platform for commercial purposes. Our Platform is for domestic and private use only. If you use our Platform for any commercial, business or resale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
What we are not liable for. We act as a platform which connects you with Pharmacies, so that you can receive products and services from those Pharmacies. We are not liable for any defect in the products received, or any issue with a service provided, by the Pharmacy. You should take up your complaint directly with the Pharmacy.
Medical advice. We are not medical practitioners and we do not provide any healthcare services or give any specific medical advice, recommend treatments, or provide diagnoses or recommendations about health (mental or physical), conditions, illnesses, symptoms, conditions or ailments. Any content on our Platform is provided for general information only and should not be taken as medical advice or diagnosis, you should not rely on any such content without seeking medical advice from a qualified and licensed practitioner. The Pharmacies may be licensed to provide medical advice through our Platform, but we do not actively monitor Pharmacies or the licences they hold. Therefore, you should ensure a Pharmacy is qualified and licensed to provide the relevant advice before relying on any medical advice you receive from them. We are not responsible for, nor do we endorse any medical advice or information provided by a Pharmacy through one of the Pharmacy Services.
Limitations to our Platform. Although we make reasonable efforts to update the information provided by our Platform, we make no representations, warranties or guarantees, whether express or implied, that such information is accurate, complete or up to date.
Please back-up content and data used with our Platform. We recommend that you back up any content and data used in connection with our Platform, to protect yourself in case of problems with our Platform.
Check that the Services are suitable for you. Our Platform and the Pharmacy Services have not been developed to meet your individual requirements. Please check that the facilities and functions of our Platform meet your requirements.
Defective digital content. In the event that our App is deemed to be defective digital content, for example if our App damages your device or other digital content owned by you, and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation. However, we will not be liable for damage that you could have avoided by following our advice to install the latest software update offered to you free of charge or for damage that was caused by you using our App in a manner that we do not authorise, or for you failing have in place reasonable anti-virus software or the minimum system requirements required to use our App.

APPSTORE TERMS ALSO APPLY

The ways in which you can use our App may also be controlled by Apple and Google Play's rules and policies and Apple and Google Play's rules and policies will apply instead of these Terms where there are differences between the two.

GENERAL

We may transfer this agreement to someone else. We may transfer our rights and obligations under these Terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.
You need our consent to transfer your rights to someone else. You may only transfer your rights or your obligations under these Terms to another person if we agree in writing.
No rights for third parties. These Terms do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term within these Terms.
If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
Even if we delay in enforcing this contract, we can still enforce it later. Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these Terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.
Which laws apply to this contract and where you may bring legal proceedings. These Terms shall be governed and construed in accordance with the laws of England. We both agree to the exclusive jurisdiction of the courts of England. If you are deemed a consumer and live in Scotland or Northern Ireland, you can bring legal proceedings in the Scottish, Northern Irish or the English courts.
